You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

The Company reserves the right to delete or make edits to any Content.

  1. Activity on Account

You expressly understand and agree that You are solely responsible for all activity that occurs under Your account, whether done so by You or any third person using Your account.

Although regular backups of the Service and Accounts are performed, the Company does not guarantee there will be no loss or corruption of data.

The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Account information. But You acknowledge that the Company has no liability related to the integrity of Account information or the failure to successfully restore Account information to a usable state.

You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.

  1. Copyright Policy

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.

If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of our copyright agent via email (info@golddiscoverygroup.com) and include in Your notice a detailed description of the alleged infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing Your copyright.

You can contact our copyright agent via email (info@golddiscoverygroup.com). Upon receipt of a notification, the Company will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Service.

  1. Placing Orders for Products

By placing an Order for Products through the Service, You warrant that You are legally capable of entering into binding contracts.

If You wish to place an Order for Products available on the Service, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct and complete.

By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

You agree that Your Order is an offer to buy, under these Terms, all Products listed in Your Order. All Orders must be accepted by the Company, or we will not be obligated to sell the Products. The Company accepts Your Order upon issuance of a written Order confirmation to You (either by email, or as reflected on Your invoice, or any other written manifestation of acceptance), which will include a confirmation number and the price locked for Your Order. Your Order becomes binding and non-cancelable under these Terms upon issuance of that confirmation.

We reserve the right to refuse, void, or liquidate Orders (at any time and without notice and even after You receive a confirmation email or letter with Your Order number) from You if You fail -- or have previously failed – to honor Your commitments, violate our Terms, where we detect potentially fraudulent or money laundering activity, or where the Company reasonably determines cancellation is necessary for legal, compliance, fraud-prevention, operational, or risk-management reasons. To further protect against fraud and breach of contract, be advised that Your phone transactions may be recorded, and You consent to such recording as a condition of doing business with the Company, communicating with Us by phone, or using the Service. We reserve the right to recover losses, costs, and expenses incurred as a result of fraudulent activity by or attributable to the customer.

You have an affirmative duty to review promptly upon receipt each transaction confirmation, invoice, account statement, or other communication relating to Your account. You must notify the Company promptly of any perceived discrepancy, error, omission, unauthorized transaction, or failure to carry out Your instructions. If You fail to provide timely notice, You acknowledge that We may reasonably rely on Your acceptance of the transaction as reflected in the confirmation or statement, and such failure will limit or bar any claim to the extent permitted by applicable law.

Unless shipping is delayed for Your convenience (such as grouping Orders to save on shipping) or during unusual market conditions, items You purchase will generally be shipped to You via common carrier within three (3) business days of Your cleared payment. If an Order is expected to take longer to ship, we strive to advise You when the Order is placed.

  1. Order Cancellation

We reserve the right to refuse or cancel Your Order at any time for certain reasons including but not limited to:

  • Lack of Product availability

  • Oversubscription for Products

  • Errors in the description or prices for Products

  • Errors in Your Order

We reserve the right to refuse or cancel Your Order if fraud or an unauthorized or illegal transaction is suspected.

  1. Your Order Cancellation Rights

Any Products You purchase can only be returned or refunded in accordance with these Terms.

We are constantly updating Our offerings of Products on the Service. The Products available on Our Service may be mispriced, described inaccurately, or unavailable, and We may experience delays in updating information regarding our Products on the Service and in Our advertising on other websites.

We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Should You return any item to Us, You may be required to pay the return shipping and product value losses, if any, at Our discretion. Orders may also be subject to a 15% restocking fee. All items returned must be shipped in our original packaging. In the case of a request for an exchange, We expressly reserve the right, in Our sole and absolute discretion, to find an acceptable replacement or refund Your money should an acceptable replacement be unavailable.

  1. Prices Policy

The Company reserves the right to revise its prices at any time prior to accepting an Order.

  1. Payments

Payment can be made through various payment methods we have available, such as Visa, MasterCard, Affinity Cards with major credit card network logo, American Express cards or online payment methods (Venmo, for example).

Payment cards (credit cards or debit cards) are subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, We will not be liable for any delay or non-delivery of Your Order.

  1. Market And Investment Risk

Neither the Company nor any Company staff member serves nor is anyone at the Company permitted or authorized to serve as Your personal investment advisor or to provide investment advice about securities or any other regulated financial instrument to You. We provide no advice about, nor do we recommend, the purchase or sale of any security, whether listed on any exchange or otherwise, specifically or generally. You agree to disregard any perceived investment advice from the Company or its staff. In reading these disclosures and doing business with us, You acknowledge that precious metals markets have inherent risks, are volatile, and are affected by economic conditions, political events, speculative activities, current demand, general market sentiment, and more. There is no guarantee of future profits or that any precious metal will retain its purchase value. You are solely responsible for Your decisions to buy precious metals products as well as Your selection and use of any service providers. Such decisions should be made in consultation with Your own advisors and after conducting Your own due diligence. Investing in precious metals is not suitable for everyone.  Since all investments can decline in value, You should understand them well and have adequate cash reserves and disposable income before investing. By purchasing precious metals products through the Company (including Your verbal and/or written agreements), You acknowledge that we are not responsible for any losses caused by Your decisions, nor do we have any claim to any market gains You may enjoy.

  1. Gold Rounds

The Products are privately minted limited edition products containing gold. The price of each Product includes a substantial premium over the value of its precious metal content, reflecting design, minting, limited mintage, packaging, and marketing costs. The resale value of Products, including any amount a dealer may pay for them, may be significantly lower than the purchase price and may be close to the value of their metal content. The Company does not guarantee any market for resale and does not offer to repurchase Products. The Company does not deal in imitation numismatic items, replicas, or copies of government-minted coins. Transactions are fully paid at the time of purchase, and delivery occurs upon settlement. The Company does not provide foreign exchange services, leveraged trading products, or futures, and does not engage in leveraged or margin transactions with or on behalf of any customer.

  1. Shipping, Delivery, And Your Obligations

Title and risk of loss pass to You upon Our transfer of the products to the shipping carrier. You must provide an accurate, current shipping address and be able to be physically present at that address when Your shipment is scheduled to be delivered.

If a package is lost in transit, it is Your responsibility to notify the Company of this within five (5) business days of the last in-transit tracking scan. While the Company will work to locate the package, we are not liable for packages lost in transit when You did not notify us of a problem within five (5) business days of the last in-transit tracking scan. Moreover, we will not cover a loss where You do not notify us of a delivery problem within two (2) business days of a tracked delivery date -- or in any cases where You have left instructions with any carrier or delivery service to leave packages unattended for You, deliver to a different address, or deliver without following the direct signature procedure.

Your package will be sent with a signature requirement, and we understand that this process is not always being followed by the shipping carriers. Packages may be left at or near Your front door or in Your mailbox, etc., without any direct communication from the delivery driver. It is, therefore, imperative that You are at the delivery address and ready to receive the package when the carrier arrives.

In the rare event that the carrier (USPS, UPS, Fed Ex, etc.) attempts to deliver a damaged package to You, You should refuse to accept delivery of the shipment.  You should ask the carrier to make note of the damage and return the package to the sender. If You accept delivery of a damaged package, the Company will not be responsible for missing contents.

Should a package be returned to us after a failed delivery (or pickup) attempt, and You are unable or unwilling to make new delivery arrangements, we reserve the right after thirty (30) calendar days to deem this as a return and liquidate the items on the Order for the original purchase price or current market value, whichever is less. Funds will be held pending instructions on where to deliver them, subject to a reasonable restocking fee that we may assess at our sole discretion. In circumstances where we are unable to locate or identify the owner of precious metals, we may place such metals into an account at the Company and store them at the expense of the unlocated or unknown owner.

  1. Sales Taxes

In some cases, we do not have an obligation (and/or ability) to calculate, collect, and remit such taxes on goods delivered into certain states. When You are in the Order checkout process, we calculate, assess, and disclose sales taxes the Company is required to collect from You to the best of our knowledge.  Even where we have not collected sales taxes, a use tax or tariff on customers' precious metals may still be imposed by states or localities that have not yet enacted exemptions. If Your state and/or locality happens to impose a tax or tariff on any of the items You purchased and we have not withheld such taxes, be advised that it is Your obligation to pay directly to Your state the applicable taxes You may owe.

  1. Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.

Subject to these Terms, the Company grants You a non-transferable, non-exclusive, revocable, limited license to use and access the Service solely for Your own personal, noncommercial use.

The rights granted to You in these Terms are subject to the following restrictions: (a) You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service, whether in whole or in part, or any content displayed on the Service; (b) You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Service; (c) You shall not access the Service in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Unless otherwise indicated, any future release, update, or other addition to functionality of the Service shall be subject to these Terms. All copyright and other proprietary notices on the Service (or on any content displayed on the Service) must be retained on all copies thereof.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

You acknowledge that all the intellectual property rights, including copyrights, patents, trade marks, and trade secrets, in the Service and its content are owned by Company or Company’s suppliers. Neither these Terms (nor Your access to the Service) transfers to You or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in this Section 18. Company and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.

  1. Your Feedback to Us

You assign all rights, title and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

  1. Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such third-party websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

  1. Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms.  Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

  1. Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or US$100 if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

  1. “AS IS” and “AS AVAILABLE” Disclaimer

THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND COMPANY (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICE OR THE PRODUCTS WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO 90 DAYS FROM THE DATE OF FIRST USE.

Without limiting the foregoing, neither the Company nor any of the Company's providers or suppliers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

  1. Governing Law

The laws of the State of California and the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

  1. Disputes Resolution

(a) In the event a dispute arising out of or relating to these Terms, the Service, or any Products, the party seeking redress shall provide written notice to the other party in accordance with the notice procedures defined in these Terms.  The parties agree to attempt to resolve said dispute informally through negotiation among themselves for a period of at least thirty (30) days after written notice to the other party.

(b) If the parties are unable to resolve the dispute informally amongst themselves within thirty (30) days from the date of the written notice to the other of a dispute, then the parties shall attempt to resolve the dispute by engaging a formal mediator engaged.  The costs of the mediator shall be shared equally by the parties; provided that, for disputes brought by an individual consumer, Company shall pay the mediator's fees. Both parties shall provide to the other party two potential mediators, and the parties shall make a good faith effort to pick one of the four.  If the parties cannot agree on a mediator within ten (10) business days, the mediator shall be appointed by JAMS, and the mediation shall be conducted in accordance with the JAMS Mediation Procedures then in effect, available at https://www.jamsadr.com/rules-mediation-procedures. The mediation shall take place in Orange County, California, or, at either party's election, by videoconference.  The mediator must have a minimum qualification of currently being an active or retired member of the State Bar of California, or a retired California judge.  This mediation requirement shall not apply to small-claims actions, actions for collection of unpaid amounts and requests for injunctive relief, such as for intellectual property misuse or fraud.

(c) If the parties are unable to resolve the dispute in a reasonably prompt time (in no event to exceed one hundred twenty (120) days from the date a party first notifies the other of any dispute), then a party shall have the right to pursue legal remedies by making appropriate filings with the Superior Court of the State of California.  Any legal suit, action or proceeding arising out of or relating to these Terms, the Service, or any Products shall be commenced in state court in the County of Orange, and each party hereto irrevocably submits to the exclusive jurisdiction and venue of any such court in any such suit, action or proceeding.

(d) All applicable statutes of limitation shall be tolled while the procedures in Sections 25(a) and (b) are pending.

(e) If any action or other proceeding arising out of or relating to these Terms, the Service, or any Products is brought by any party, the prevailing party shall be entitled to recover reasonable attorneys’ fees, costs and disbursements (in addition to any other relief to which the prevailing party may be entitled), including the costs and attorneys’ fees incurred for negotiation and mediation of the dispute or controversy prior to commencement of the suit, action or proceeding.  A party that commences an action without first attempting mediation as required by this Section shall not be entitled to recover attorneys’ fees, even if it would otherwise be the prevailing party.

  1. United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

  1. Indemnification

You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) Your use of the Service, (b) Your violation of these Terms or (c) Your violation of applicable laws or regulations. Company reserves the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify us, and You agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Company. Company will use reasonable efforts to notify You of any such claim, action or proceeding upon becoming aware of it.

  1. Export

The Website may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any data acquired from Company, or any products utilizing such data, in violation of the United States export laws or regulations.

  1. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

  1. Entire Terms.

These Terms constitute the entire agreement between You and Us regarding the use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. These Terms, and Your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by You without Company’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Company may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

  1. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Revised Terms will not apply to any Order confirmed before the revised Terms take effect. If We make a material change, We may require You to accept the revised Terms through a checkbox or similar mechanism before placing further Orders.

  1. Electronic Communications

The communications between you and Company use electronic means, whether you use the Website or send us emails, or whether Company posts notices on the Website or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in a hardcopy writing. The foregoing does not affect your non-waivable rights.

  1. Notices
